Terms of Service

Terms of Service for OpenProse's websites and the hosted OpenProse runner, under the Common Paper Cloud Service Agreement Standard Terms.

These Terms cover OpenProse's websites and the hosted OpenProse runner, including its web app, access through the CLI, and APIs (together, the "Service"), currently served from prose.md and openprose.ai and their subdomains, including run.prose.md. They are a Cover Page under the Common Paper Cloud Service Agreement Standard Terms, Version 2.1, which are incorporated by reference. If anything here conflicts with the Standard Terms, this page wins.

By creating an account, buying credits, or using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service for a company, you are agreeing on its behalf and you confirm you have the authority to do so.

The short version

This summary is for convenience. The full Terms below and the Standard Terms control.

1. Beta Service

The hosted OpenProse runner is an early-access, beta product. Section 12.7 (Beta Products) of the Standard Terms applies to the whole Service, not only to individual features. That means:

Beta status does not change the credit rules in Section 3.

2. Accounts and access

You need a GitHub account to sign in. You must be at least 18 years old. Keep your API keys and sign-in credentials confidential; you are responsible for activity under your account. Tell us at support@openprose.ai if you believe your account has been compromised.

Connecting a GitHub repository gives the Service the permissions shown on the GitHub authorization screen, which include reading repository contents and, if you choose to publish results, writing to a branch we create. You can revoke this from GitHub at any time. You are responsible for having the right to give us that access.

3. Credits and payment

The Service runs on prepaid credits held in your wallet.

Purchased credits. You buy credits in US dollars through our payment processor. Purchased credits are non-refundable except where required by applicable law. Purchased credits expire one year after the date of purchase if not used. The expiry date of each purchase is shown in your wallet.

Promotional credits. We may grant free credits, for example at signup. Promotional credits have no cash value, are non-transferable, cannot be redeemed for money, and may be limited, changed, or withdrawn by us at any time.

General rules for all credits. Credits are not currency, are not a deposit, and are not redeemable or exchangeable for any sum of money except as required by law. Credits are tied to your account and cannot be transferred to another account. Some models or features may be available only to accounts with a completed purchase.

Pricing. Each run is charged against your wallet at the prices shown in the Service at the time of the run, which may include a fee added to top-ups and to third-party costs. Before a run starts we place a temporary hold on an estimated amount; the final charge may be higher or lower than the hold. Failed, stopped, or cancelled runs may still incur charges for work already performed. Prices may change at any time; changes apply to runs started after the change.

Disputes and chargebacks. If a payment is reversed or disputed, we may suspend your account and debit the disputed amount from your wallet, which may leave a negative balance you are responsible for.

The Standard Terms' Sections 4.2 (Invoicing), 4.3 (Automatic Payment), 4.5 (Payment), and 4.6 (Payment Dispute) do not apply; payment happens only through the top-up flow in the Service.

4. Your content and repositories

You own your Customer Content, including programs you write, files you upload, repository contents you connect, and the outputs the Service generates for you. To the extent we hold any rights in outputs generated for you, we assign them to you, to the extent permitted by law.

You give us the rights needed to operate the Service, as set out in Section 1.5 (Customer Content) of the Standard Terms, and we may use Usage Data and de-identified Customer Content as set out in Sections 1.4 and 1.6. Section 3.2 (Prohibited Data) of the Standard Terms applies: do not submit passwords, private keys, regulated health or financial data, or other sensitive data the Service is not designed to handle.

You are responsible for having the rights to everything you submit, including repository contents that belong to others.

5. Public sharing

Programs and results are private by default. If you publish a program or result, or share a run link, the shared content becomes visible to anyone with the link or URL, and copies may persist after you unpublish. Publishing gives anyone who can see it permission to view it; you can unpublish at any time from the Service.

6. Acceptable use

Section 2.1 (Restrictions on Customer) of the Standard Terms applies. In addition, you may not use the Service to generate or distribute malware, to attack or scrape systems without authorization, to circumvent credit limits or abuse promotional credits (including by creating multiple accounts), or in any way that violates the acceptable-use policies of the third-party providers we rely on.

We may review content, usage patterns, and account activity to investigate suspected abuse, fraud, or violations of these Terms, and we may suspend or terminate accounts under Section 2.2 (Suspension) and Section 5.3 (Termination) of the Standard Terms.

7. Open-source software

The OpenProse language, compiler, CLI, and related open-source projects are separate from the Service. They are licensed under the terms in their respective repositories, and nothing in these Terms changes those licenses. These Terms apply only to the hosted Service and the websites listed above.

8. AI services and third-party providers

The Service uses third-party large language models, search, browser automation, hosting, and payment providers. Your content is sent to those providers as needed to perform your runs. Their handling of that content is governed by our agreements with them and described in the Privacy Policy. We do not control those providers and may change them at any time.

Outputs are generated by AI systems and may be inaccurate, incomplete, or similar to outputs generated for other users. Outputs are not professional advice and are not a substitute for human review. You are responsible for reviewing outputs before relying on them and for how you use them, including any code the Service commits to your repositories. We make no promise that outputs are unique or do not infringe third-party rights. Do not use the Service to make decisions in regulated areas (such as credit, employment, housing, insurance, or medical care) without qualified human oversight.

9. Termination and your data

You can stop using the Service at any time. To close your account, request deletion of your data, or ask for a copy of the programs and run outputs we hold for you, email support@openprose.ai from the email address on your GitHub account. We acknowledge requests within 10 business days and complete deletion within 60 days, as set out in Section 5.5 (Effect of Termination) of the Standard Terms, except for records we must keep by law (such as payment and tax records). Unused credits are handled under Section 3.

We may terminate or suspend your account under the Standard Terms, or discontinue the Service under Section 1.

10. Changes to these Terms

We may update these Terms. If a change materially reduces your rights, we will give at least 30 days' notice in the Service or by email before it takes effect, and you may close your account before then. Continued use after the effective date means you accept the updated Terms, and you will be asked to confirm on your next sign-in.

11. Where we offer the Service

The Service is offered to users in the United States. We price in US dollars and offer the Service in English. We do not direct the Service at users in the European Union, the United Kingdom, or other regions. If you use the Service from elsewhere, you do so on your own initiative and are responsible for local compliance.

Changes to the Standard Terms

For clarity, these are the places where this Cover Page departs from the Standard Terms:

  1. Section 2.1 (Restrictions on Customer): supplemented by Section 6 of this page.
  2. Section 4.1 (Fees): all fees and credits are non-refundable except where required by applicable law. The prorated-refund exception in Section 4.1 does not apply.
  3. Sections 4.2, 4.3, 4.5, and 4.6: replaced by Section 3 of this page.
  4. Section 5.1: no Order Form or Subscription Period; the Agreement continues until terminated.
  5. Section 6.3: does not apply, per Section 12.7 (Beta Products) and Section 1 of this page.
  6. Section 8.1 (Liability Caps): the General Cap Amount limits only Provider's liability. Customer's obligations listed as Unlimited Claims in the Key Terms are not capped. The Section 8.4 exception for confidentiality does not remove Provider's monetary cap.
  7. Section 12.2 (Modifications): these Terms may be updated as described in Section 10 of this page.
  8. Section 12.7: applies to the whole Cloud Service.
  9. Section 12.9 (Notices): notices to you may be given in the Service or by email to your GitHub account email.

Everything else in the Standard Terms applies as written.
